Terms of Service

1. Introduction

These Terms of Service (“Terms”) constitute a binding agreement between you (“User,” “you,” or “your”) and Thrive Foundation, a Cayman Islands foundation company (“Thrive Foundation,” “Thrive,” “we,” “us,” or “our”). These Terms govern your access to and use of:

• Our websites, including https://www.thrive.xyz/ and any subdomains;
  
  
• Our web or mobile applications (the “Apps”);
  
  
• The Thrive Power List (“TPL”);
  
  
• The Proof of Value (“PoV”) consensus mechanism;
  
  
• Power Signals, validation workflows, and related tools;
  
  
• APIs, dashboards, analytics, and Guardian interfaces;
  
  
• Any other content, software, smart contracts, platforms, or features we provide
  
  (collectively, the “Services”).
  
  

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you may not use the Services.

We may modify or update these Terms at any time, for any reason, with or without notice. Your continued use of the Services constitutes acceptance of such modifications. We may also modify, discontinue, or replace any part of the Services at any time.

2. Definitions

For purposes of these Terms, the following definitions apply:

2.1 “Project”

A crypto business, organization or initiative.

2.2 “Builder”

Individuals or teams creating products, technology, businesses, or value for the broader web3 ecosystem using Thrive’s Services, including but not limited to Projects.

2.3 “Power Signal”

Any data point, evidence, research, metric, document, or submission relevant to the TPL’s ranking methodology or the PoV consensus mechanism, whether submitted by a Project, Builder, Human Guardian, or Agent Guardian.

2.4 “Power Score”

The quantitative or qualitative score assigned to a Project based on validated Power Signals and PoV consensus, which determines the Project’s visibility and/or position on the TPL.

2.5 “Thrive Power List (TPL)”

The ranking, surfacing, scoring, evaluation, or display layer operated by Thrive that ranks Projects based on value creation, using PoV and validated Power Signals.

2.6 “Guardian”

A User participating in researching, reviewing, validating, scoring, or analyzing Power Signals.

Guardians may be:

• Human Guardians (natural persons), or
  
  
• Agent Guardians (automated or programmatic agents, bots, or software systems).
  
  

2.7 “Proof of Value (PoV)”

A decentralized, evidence-based validation process whereby Guardians independently verify Power Signals. PoV may involve subjective and objective inputs, reputation scoring, disagreement resolution, and consensus finalization.

2.8 “Ecosystem”

Any blockchain network, protocol, or partner project using Thrive’s systems for project discovery, evaluation, or value verification.

2.9 “Manipulative Behavior”

Any attempt to influence, distort, bias, or undermine the accuracy, fairness, or integrity of Power Signals, Power Scores, or the TPL, including but not limited to fraud, collusion, bribery, Sybil attacks, artificial traction, falsification of evidence, or circumvention of PoV.

3. Eligibility and Account Requirements

To access the Services, you must:

• Be at least 18 years of age;
  
  
• Have the legal capacity to enter contracts;
  
  
• Not be located in, resident in, or associated with Cuba, Iran, North Korea, Syria, Russia, Belarus, or the Crimea, Donetsk, Luhansk, Kherson, or Zaporizhzhia regions of Ukraine;
  
  
• Not appear on any restricted or sanctions list (e.g., OFAC/SDN, OFSI, EU, UN);
  
  
• Not be a Politically Exposed Person (“PEP”), or immediate family/associate;
  
  
• Provide accurate and complete information;
  
  
• Use a self-custodied crypto wallet you control;
  
  
• Not attempt to circumvent geoblocking or other restrictions.
  
  

We may request identity documentation or verification, including for AML, sanctions compliance, fraud prevention, or PoV integrity, and may deny access at our discretion.

We may suspend or terminate accounts at any time.

4. The Thrive Power List (TPL)

4.1 Overview

The TPL ranks Projects based on validated Power Signals.

By interacting with the TPL, you acknowledge and agree that:

• Power Scores and rankings are informational only;
  
  
• Thrive does not endorse any Project;
  
  
• TPL outputs may contain errors, omissions, or incomplete data;
  
  
• Thrive reserves the right to modify, remove, or recalculate scores at any time.
  
  

4.2 No Guarantee

Inclusion in the TPL is not guaranteed. We may accept, reject, de-list, or modify any Project’s listing at our discretion.

4.3 Methodology Modifications

Thrive may update or revise:

• The set of Power Signals;
  
  
• Weighting, definitions, or criteria for each Signal;
  
  
• The PoV validation process;
  
  
• Guardian reputation scoring;
  
  
• Power Score formulas;
  
  
• TPL display, ranking, or surfacing logic.
  
  

These changes may occur with or without notice and may affect Project rankings retroactively or prospectively.

5. Project Submissions and Representations

5.1 Ownership

Projects retain all intellectual property rights to their submissions, except as provided herein.

5.2 License to Thrive

By submitting information to the TPL, a Project grants Thrive a perpetual, worldwide, royalty-free, sublicensable license to:

• Use, reproduce, display, publish, distribute, and analyze Project data;
  
  
• Display Project name, description, and public assets;
  
  
• Display Power Signals, Power Scores, ranking outcomes, metadata, and evaluation summaries;
  
  
• Promote the Project in the context of Thrive, TPL, PoV, ecosystem partners, or associated applications.
  
  

This license does not include ownership or commercialization of proprietary code.

5.3 Accuracy

Projects represent and warrant that:

• All submitted information is truthful, accurate, and non-misleading;
  
  
• They have all rights necessary to submit the information;
  
  
• No confidential or third-party proprietary data is submitted without authorization.
  
  

6. Power Signals and User Submissions

6.1 Submitting Power Signals

Power Signals may be submitted by Projects, Builders, Human Guardians, Agent Guardians, or other Users.

All such submissions:

• Are deemed “User Content” under these Terms;
  
  
• Must be based on truthful, evidence-backed information;
  
  
• May be made public;
  
  
• May be validated, rejected, challenged, or modified by Thrive or other Guardians;
  
  
• May contribute to a Project’s Power Score.
  
  

6.2 License to Thrive

You grant Thrive a worldwide, perpetual, irrevocable, sublicensable license to:

• Use, reproduce, publish, distribute, analyze, and display your Power Signals;
  
  
• Store, evaluate, and integrate them into PoV;
  
  
• Use your submissions to train AI systems or Agent Guardians;
  
  
• Use your contributions for research, security, fraud detection, and auditability.
  
  

6.3 Guardian Contributions

Human Guardians and Agent Guardians agree that:

• Their submissions may be public or pseudonymous;
  
  
• Their actions may contribute to a reputation score;
  
  
• They may be removed, demoted, or suspended at any time;
  
  
• They may not manipulate PoV or coordinate with Projects;
  
  
• Their contributions may be audited, reversed, or flagged.
  
  

7. Prohibited Conduct

Users may not engage in Manipulative Behavior, including but not limited to:

• Fake traction, fake metrics, or fabricated evidence;
  
  
• Collusion between Projects and Guardians;
  
  
• Sybil attacks, botting, artificial activity;
  
  
• Reverse engineering PoV to cheat;
  
  
• Attempting to influence or bribe Guardians;
  
  
• Submitting mass low-quality or malicious Agent Guardian outputs;
  
  
• Tampering with the TPL, PoV, or ranking logic;
  
  
• Circumventing sanctions or eligibility restrictions.
  
  

We may remove or penalize any User, Project, Power Signal, or Guardian suspected of manipulation.

8. Intellectual Property and Services Content

All materials provided as part of the Services—including rankings, methodologies, dashboards, designs, analytics, and reports—are owned by Thrive or licensed to Thrive. Users receive only a limited license to access and use these materials for personal, non-commercial purposes.

Thrive may update or modify Services Content at any time.

9. Disclaimers

9.1 Informational Purposes Only

TPL rankings, Power Scores, and PoV outcomes:

• Are not investment, financial, legal, or strategic advice;
  
  
• Do not guarantee accuracy or future outcomes;
  
  
• Should not be relied upon for any high-stakes decision.
  
  

9.2 No Warranties

The Services are provided “as is”, with no warranties of any kind.

9.3 On-Chain Risks

Users acknowledge that blockchain interactions:

• Are public, immutable, and may be correlated with identifiable data;
  
  
• Are subject to volatility, network failures, and smart contract risks.
  
  

10. Limitation of Liability

To the fullest extent permitted by law:

• Thrive is not liable for indirect, incidental, punitive, or consequential damages;
  
  
• Thrive’s total liability for all claims is capped at USD $100;
  
  
• Claims not submitted within one year are permanently waived.
  
  

11. Indemnification

You agree to indemnify Thrive against all claims arising from:

• Your misuse of the Services;
  
  
• Your User Content;
  
  
• Your violation of these Terms;
  
  
• Your manipulation or attempted manipulation of PoV, Power Signals, or the TPL.
  
  

12. Termination

We may terminate or suspend your access at any time, with or without notice.

You may stop using the Services at any time.

Certain provisions survive termination, including IP licenses, disclaimers, limitations of liability, and arbitration.

13. Dispute Resolution

13.1 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the ICC, seated in Grand Cayman, Cayman Islands, in English.

13.2 Opt-Out

You may opt out of arbitration within 30 days by emailing legal@thrivefoundation.xyz.

13.3 Class Action Waiver

All claims must be brought individually.

14. Governing Law

These Terms are governed by Cayman Islands law, without regard to its conflict-of-law principles.
